BindSignal Pilot Terms

These Pilot Terms govern participation in a BindSignal pilot programme operated by BINDSIGNAL LTD ("BindSignal", "we", "our", or "us"). By accepting these terms, you confirm that you are authorised to act on behalf of your organisation ("Customer") and agree to these terms on its behalf.

1. About the Pilot

The purpose of the pilot is to evaluate whether BindSignal can help identify commercially relevant insurance activity from Microsoft 365 communications and provide insights that support broker, producer and distribution management.

The pilot is an evaluation programme. It is not a production service and is not intended to replace any existing systems or business processes.

2. Pilot Fee

The pilot fee is:

  • £500 for organisations based in the United Kingdom; or
  • US$750 for organisations based outside the United Kingdom,

unless otherwise agreed in writing.

Pilot fees are payable in advance and are non-refundable.

3. Pilot Duration

The pilot will run for approximately sixty (60) days from activation unless ended earlier by either party.

BindSignal may extend the pilot period if onboarding, access or customer participation is delayed.

4. How the Pilot Works

To participate, Customer will provide access to agreed Microsoft 365 mailboxes and cooperate with reasonable onboarding and review activities.

During the pilot, BindSignal may provide:

  • activity summaries;
  • commercial signals;
  • opportunity identification;
  • trend analysis;
  • recommendations;
  • reports; and
  • other pilot outputs.

Customer remains responsible for all underwriting, distribution, sales, broker management, producer management and business decisions. BindSignal provides information and recommendations only.

5. Customer Responsibilities

Customer confirms that:

  • it has authority to participate in the pilot;
  • it has authority to grant access to the mailboxes included in the pilot;
  • it will comply with applicable laws and regulations;
  • it will evaluate outputs using its own judgement; and
  • it will participate in reasonable pilot review discussions.

6. Pilot Nature

Customer acknowledges that:

  • the pilot is an evaluation programme;
  • features and outputs may change during the pilot;
  • reports may contain inaccuracies or omissions;
  • availability is not guaranteed;
  • pilot outputs are informational only; and
  • BindSignal does not guarantee any increase in premium, submissions, revenue, broker activity, producer engagement or business performance.

7. Data

Customer retains ownership of its data.

Customer grants BindSignal permission to access, process, store and analyse data as reasonably necessary to operate, evaluate, support and improve the pilot and the BindSignal platform.

BindSignal may use aggregated, anonymised and non-identifiable information derived from pilot activity for product development, benchmarking, analytics, research, fundraising, investor discussions and marketing purposes.

BindSignal will not disclose Customer confidential information without permission except where required by law.

8. Feedback

Customer may provide suggestions, comments and feedback.

BindSignal may use any feedback without restriction and without payment, attribution or compensation.

9. Intellectual Property

BindSignal retains all rights, title and interest in and to:

  • the BindSignal platform;
  • software;
  • reports;
  • methodologies;
  • scoring systems;
  • workflows;
  • documentation;
  • improvements; and
  • all related intellectual property.

Participation in the pilot does not transfer any ownership rights to Customer.

10. Pilot Outcome Review

At the end of the pilot, the parties will hold a pilot review.

Customer agrees to provide one of the following outcomes:

Option A – Commercial Subscription: Customer confirms that the pilot demonstrated value and wishes to discuss a commercial agreement.

Option B – Reference Participation: Customer confirms that the pilot demonstrated value but does not wish to proceed immediately. In this case Customer agrees to reasonably support BindSignal's commercial efforts for up to twelve (12) months following pilot completion through one or more of:

  • reference calls;
  • customer diligence discussions;
  • investor diligence discussions;
  • testimonials;
  • case studies; or
  • permission for BindSignal to identify Customer as a pilot participant.

Option C – No Demonstrated Value: Customer confirms that the pilot did not demonstrate sufficient value and agrees to provide brief written feedback explaining why.

11. Publicity

BindSignal may identify Customer as a pilot participant unless Customer objects in writing before the pilot begins.

BindSignal will obtain Customer approval before:

  • publishing detailed case studies;
  • publishing performance metrics attributed to Customer; or
  • publishing quotations attributed to named individuals.

12. Suspension and Termination

Either party may end the pilot at any time.

BindSignal may suspend or terminate participation immediately if:

  • Customer breaches these terms;
  • Customer provides unauthorised access;
  • continued participation creates security, legal or operational risk; or
  • Customer uses the service unlawfully.

13. Disclaimer

The pilot is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, BindSignal makes no warranties, representations or guarantees regarding:

  • accuracy;
  • completeness;
  • availability;
  • fitness for purpose;
  • commercial outcomes; or
  • uninterrupted operation.

14. Limitation of Liability

To the fullest extent permitted by law:

  • BindSignal's total liability arising from or relating to the pilot will not exceed the pilot fee paid by Customer.
  • BindSignal will not be liable for indirect, consequential, incidental, special, punitive or exemplary damages.
  • BindSignal will not be liable for loss of profit, loss of revenue, loss of opportunity, loss of business, loss of goodwill or loss of data.

15. Confidentiality

Each party will keep the other party's confidential information confidential and will not disclose it except:

  • with permission;
  • where required by law; or
  • to professional advisers subject to confidentiality obligations.

16. Changes to the Pilot

BindSignal may modify, improve, suspend or discontinue pilot features at any time.

17. Governing Law

These Pilot Terms are governed by the laws of England and Wales.

Any dispute relating to these Pilot Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
